online subscription agreement These Rules are framed to safeguard the rights and interests of Taiwan Stock Exchange Corporation ("TSEC") and each person (the "User") who places one or more on-line orders with TSEC's. The User is requested to peruse the provisions contained herein. Upon clicking the "I consent" button, the User is deemed to have fully acquainted himself or herself with and agreed to be bound by all the provisions contained in these Rules. 1.Protection of Information: (1)In order to consummate each on-line order transaction, including payment and delivery procedures, the User warrants that the information entered by the User is consistent with the fact, and TSEC may use the information entered by the User as the basis for verification. (2)With respect to the Information, TSEC, in addition to adopting a secure mode of transaction, covenants to keep such information in confidence and shall not arbitrarily disclose or provide such information to a third party. (3)In any of the following circumstances, TSEC may verify and review the User's personal information or provide the same to a relevant competent authority, or to a third party who claims with adequate evidence that his or her right has been infringed: (a)pursuant to applicable laws, regulations, or an order of a competent judicial authority or other competent authority; (b)for enforcement of these Rules, or violation of these Rules by the User; (c)for maintaining the normal operation and safety of TSEC's system; or (d)for protecting the legitimate rights and interests of other users of TSEC or other third parties. (4)The User shall safeguard the User's personal information, payment information, and membership passwords so as to avoid such information being revealed. Any act conducted in this system after having access to the system using an account and password shall be deemed to be an act of the owner of such account and password. 2.Intellectual Property Rights: TSEC owns the copyright, trademark and other intellectual property rights in and to the information products and all contents of this website, including all text, drawings, programmed pictures, and compiled data. 3.On-line Orders: (1)Where the User places an on-line order on TSEC's website, the User is deemed to be willing to purchase the product(s) ordered and to be bound by these Rules. In case of any change in the User's information (such as address or telephone number), the User shall forthwith go on-line and amend the information the User originally entered. The User shall not deny orders or refuse to pay for orders on the basis that the information is inconsistent [with the User's most current personal information]. (2)With respect to the on-line orders placed in TSEC's website, the User agrees that the electronic transaction information recorded by TSEC shall prevail and, in case of dispute, the said electronic transaction information shall govern. If the User finds any information to be incorrect, the User shall forthwith inform TSEC, and the parties hereto shall work together to clarify and confirm. 4.Payment: By placing an on-line order for an information product, the User agrees to pay TSEC in accordance with TSEC's pricing list and payment terms. 5.Limitations on Use: (1)Without the prior consent of TSEC the User may not reproduce, transmit, or disseminate in any manner the contents of the purchased information product to any third party. TSEC will take legal action against any User who fails to adhere to this limitation. (2)Where the User transmits, with the prior consent of TSEC, the contents of any purchased information product to the User's customers, the User shall undertake to ensure that the User's customers shall not transmit such contents to any third party. In case of the foregoing event, the User shall forthwith inform TSEC and simultaneously terminate the User's contract with such customer. 6.Liability: (1)The User shall obtain the software and hardware equipment required for receiving or downloading the ordered information product. If the User is unable to receive or download the ordered information product due to the incompatibility or malfunctioning of such equipment, the User shall forthwith inform TSEC for appropriate assistance. (2)Where TSEC makes any revision to the contents of an information product ordered by the User due to an amendment to applicable laws or regulations, the User agrees to receive or download the contents so revised by TSEC. (3)TSEC makes no warranty as to the accuracy or completeness of the data contained in any information product and shall not be liable for damages sustained by the User as a result of utilizing such data. (4)TSEC shall not be liable for damages arising out of any interruption, delay, or omission in the transmission of any information product caused by a power or network disconnection, a computer or system breakdown, or any other event of force majeure. 7.Termination: If the User violates any provision contained in these Rules, TSEC may terminate the User's rights under these Rules by giving an on-line or written notice to the User. 8.Assignment: Without the prior consent of TSEC, the User may not assign any right acquired from the on-line order to any third party. 9.Amendment: TSEC reserves the right to amend these Rules from time to time, and the amended provisions of the Rules shall be published on this website with no further notice to the User. The User agrees to be bound by these Rules as they may be amended from time to time. 10.Governing Law and Jurisdiction: (1)The User agrees that these Rules, along with all on-line orders and transactions that the User conducts on TSEC's website, shall be governed by the laws of the Republic of China. (2)The User and TSEC agree that the Taipei District Court of Taiwan shall be the court of first instance over any dispute arising from these Rules.
